Please read these Terms of Service ("Terms") carefully before using any services provided by Kliento LLC ("Kliento," "we," "us," or "our"), including our website at thekliento.com, our AI Receptionist, Website AI Chat Widget, and Email Automation Agent (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

1. Services

Kliento provides AI-powered automation products to businesses, including:

  • AI Receptionist: A voice AI agent that answers inbound calls, schedules appointments, transfers calls, and communicates with staff and callers via SMS and email.
  • Website AI Chat Widget: An AI chat interface embedded on client websites to answer visitor questions in real time.
  • Email Automation Agent: An AI system that reads incoming emails, drafts replies, and delivers them for approval via SMS or WhatsApp before sending.

Kliento reserves the right to modify, suspend, or discontinue any Service at any time, with or without notice.

2. SMS Communications — Terms of Use

By consenting to receive SMS messages from Kliento or from a business using Kliento's Services, you agree to the following:

a) How You Opt In

You may receive SMS messages in the following ways:

  • Staff notifications: When you call a business using our AI Receptionist and verbally request that a message be forwarded to a staff member, that message may be delivered via SMS.
  • Customer follow-up messages: During a call with our AI Receptionist, if you verbally agree to receive a requested link, appointment or event information, help link, or message confirmation, you will receive that SMS. This is an explicit verbal opt-in and is recorded as part of the call.

b) Message Frequency

Message frequency depends on your interactions with our Services. Operational and informational messages are sent only when triggered by a specific call, request, web form submission, or staff workflow. Kliento does not send marketing, promotional, coupon, discount, fundraising, or advertising SMS under this program.

c) Message and Data Rates

Message and data rates may apply. Standard carrier messaging and data rates may apply to all SMS messages you receive. Kliento is not responsible for any charges incurred by your wireless carrier.

d) How to Opt Out

You may opt out of SMS communications at any time by replying STOP to any message you receive from us. After receiving your STOP request, we will send one final confirmation message and no further SMS messages will be sent to your number unless you provide new consent.

3. Client Responsibilities

Businesses that engage Kliento to deploy our Services ("Clients") agree to:

  • Use our Services only for lawful purposes and in compliance with applicable federal, state, and local laws, including the Telephone Consumer Protection Act (TCPA) and CAN-SPAM Act
  • Obtain all necessary consents from their own customers before those customers are contacted via SMS through our platform
  • Provide accurate business information required for A2P SMS registration with The Campaign Registry (TCR) and applicable carriers
  • Not use our Services to send spam, unsolicited commercial messages, or harassing communications
  • Maintain their own Privacy Policy and Terms that disclose the use of AI automation and SMS communications to their end users

4. Acceptable Use

You agree not to:

  • Use our Services for any illegal or unauthorized purpose
  • Interfere with or disrupt the integrity or performance of our Services
  • Attempt to gain unauthorized access to any part of our Services or related systems
  • Use our AI systems to generate, distribute, or facilitate harassment, discrimination, or harmful content
  • Misrepresent your identity or affiliation when using our Services

5. Intellectual Property

All content, technology, software, and materials associated with our Services — including our AI models, workflows, scripts, and website — are the property of Kliento LLC or our licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

6. Privacy

Your use of our Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

7. Disclaimer of Warranties

Our Services are provided "as is" and "as available" without warranty of any kind. Kliento makes no representations or warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our Services will be uninterrupted, error-free, or completely secure.

8. Limitation of Liability

To the maximum extent permitted by law, Kliento LLC and its owners, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use our Services, even if advised of the possibility of such damages. Our total liability to you for any claim arising from these Terms or our Services shall not exceed the amount you paid to Kliento in the three months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Kliento LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your use of our Services, your violation of these Terms, or your violation of any third-party rights.

10. Governing Law

These Terms are governed by the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the courts located in Erie County, New York.

11. Changes to These Terms

We reserve the right to update these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a new effective date. Your continued use of our Services after changes take effect constitutes your acceptance of the revised Terms.
